BYLAWS FOR THE GREATER YAKIMA FRIENDS OF THE LIBRARY
NAME
The name of the organization is the Greater Yakima Friends of the Library, hereinafter referred to as the Friends or “the organization.” Contact information for the Friends shall be provided on membership forms at Yakima libraries and on the Friends’ Website.
PURPOSES
The purpose of the Friends shall be:
Section 1. Foster closer relations between the Yakima library branches of the Yakima County Rural Library District No. 1 (also known as Yakima Valley Libraries) and the residents of the greater Yakima area and environs
Section 2. Promote knowledge of the functions, resources, services and needs of the Library
Section 3. Support and cooperate with the Library in developing library services and facilities in the community
Section 4. Enable the Yakima libraries to enhance services, expand programs and add new dimensions that maximize the Library's role and usefulness in the community
Section 5. Heighten public awareness of the Library
Section 6. Strengthen the promotion of library services and resources with the guidance of the Director of the Yakima County Rural Library District
Section 7. Assist in the identification of community needs
Section 8. Work closely with the Director and designated staff of the Yakima Valley Libraries to support and coordinate projects that support of Yakima Valley Libraries
MEMBERSHIP AND DUES
Section 1. Membership of this organization shall be open to all individuals and organizations interested in the library system.
Section 2. There shall be 5 types of membership with the varying annual dues as described in the Greater Yakima Friends of the Library Dues Policy.

c. Family
d. Organization
e. Volunteer 2 or more hours of service
Section 3. Each paid or volunteer membership shall be entitled to one vote.
MEETINGS
Section 1. The annual meeting of the Friends shall be held the fourth Tuesday of March.
Section 2. Committees shall meet as necessary.
Section 3. Other meetings of the members may be called by the one of the co-chairs at his or her discretion, and shall be called by him or her upon request by two elected officers or five members at large. Business to be considered at any special meetings shall be indicated in an advance notice to members and official action may be taken on no other business at that meeting.
OFFICERS & DUTIES
Section 1. The Friends shall have an Executive Board comprised of two co-chairs, a secretary and a treasurer. Each position has a term of 2 years. Two board positions – one co-chair and either the secretary or treasurer – will be open for election each year, beginning in 2008.
Section 2. In case of any vacancy in the officers through death, resignation, disqualification or other causes, the Executive Board, by an affirmative vote of a majority thereof, shall elect a successor to hold office for the unexpired portion of the term of the officer whose place shall be vacant, and until the election of his or her successor at the annual meeting.
Section 3. Co-Chairs: To preside over and conduct meetings and to appoint all committees and be ex-officio members thereof, except as limited herein.
Section 4. Treasurer: To keep and maintain the financial records of the organization and to present a report of the organization's financial status at the annual meeting and quarterly reports to the Executive Board.
Section 5. Secretary: To record attendance at all meetings; to take the minutes of all meetings; to keep a list of the membership of the Friends, together with their addresses; to notify the members of the Friends of the time and place of meetings; and to conduct the correspondence of the organization.
COMMITTEES
Section 1. All committees, both standing and special as are necessary to achieve the work of the organization, shall be appointed by the co-chairs subject to the approval of the Executive Board. Either one or both of the co-chairs shall be an ex–officio member of all committees.
Section 2. The standing committees and their duties include the following:
a. Book Sale – To plan, promote, and conduct the book sale, which will take place as needed. The Book Sale Chairman is exempt from term limitations.
b. Fair Booth - To prepare, supply and staff the library information booth at the Central Washington State Fair. Cooperation with other Friends of the Library groups within the Yakima County Rural Library District is encouraged.
Section 3.
a. Special committees shall be formed as needed.
FISCAL YEAR
Section 1. The organization’s fiscal year shall run Jan. 1 to Dec. 31.
MISCELLANEOUS
Section 1. This organization shall not be operated for profit. Funds raised in the name of the Friends shall be expended for the benefit of the Yakima County Rural Library District. Expenditures of more than $75 must be approved in advance by at least two-thirds (2/3) of the Friends present at the meeting or at least three elected officers.
Section 2. No part of the net earnings of this organization or funds derived from the liquidation or dissolution of this organization shall be used to compensate a private individual or member for services to this organization.
Section 3. All checks of payment must be signed by at least two elected officers.
Section 4. In the event this organization ceases to exist, all of the property and assets thereof shall become the property of the Yakima County Rural Library District.
AMENDMENTS TO BYLAWS
Amendments to these bylaws may be enacted by concurrence of two-thirds of the membership present and voting at the meeting on which such vote is to be taken. Notice of intention to amend these bylaws must be given in writing to all members not less than ten (10) days prior to the date of the meeting at which such action is to be taken.
